  1. UK Stewardship Code – COBS 2.2.3
    1. Under Rule 2.2.3R of the Financial Conduct Authority (“FCA”) Conduct of Business Sourcebook, Mesarete Capital LLP (“Mesarete”), is required to make a public disclosure in relation to the nature of its commitment to the UK Stewardship Code (the “Code”) of the Financial Reporting Council (the “FRC”).

      Whilst Mesarete generally supports the objectives that underlie the Code, the provisions of the code are not directly relevant to the type of asset management we undertake, and therefore Mesarete has chosen not to commit to the Code at this time. Should that change in the future, Mesarete will review its commitment to the Code and update this disclosure accordingly.
  2. SRD II –
    1. Under Rule 2.2B.5.R of the Financial Conduct Authority’s (“FCA”) Conduct of Business Sourcebook, Mesarete Capital LLP is required to develop and publicly disclose an engagement policy as described in the Shareholder Rights Directive (“SRD II”), or provide a clear and reasoned explanation of why it has chosen not to develop a shareholder engagement policy.

      Mesarete pursues an emerging markets focused credit strategy and as such, does not systematically invest into the equities of listed issuers on UK, EEA or other regulated markets. Whilst Mesarete generally supports the objectives that underline the rationale for development of an Engagement Policy, the nature of Mesarete’s investment strategies are such that the provisions of SRD II are not materially relevant. As such Mesarete has chosen not to comply with the requirements to produce an Engagement Policy at this time.

      Should that change in the future, Mesarete will review its commitment to the Code and update this disclosure accordingly.
Complaints

If you are dissatisfied with any aspect of the services provided to you in respect of our AIF management, you may write to the Compliance Department of Mesarete at compliance@mesaretecapital.com. We take every complaint from customers seriously and your complaint will be handled in accordance with the relevant rules of the Financial Conduct Authority (“FCA”). Mesarete has a written internal complaint handling policy, which can be furnished to you upon request. In the event we fail to resolve a complaint, you may be entitled to refer your complaint to the Financial Ombudsman Service.
